Terms and Conditions

These terms and conditions (“Agreement”) govern the relationship between (“Company”) and its independent direct sellers (“Distributor/Representative”). By registering as a distributor and participating in the Company’s direct selling activities, you agree to comply with the following terms:

1. Registration and Eligibility

• Distributors must be at least 18 years of age.
• Distributors must submit valid identification and bank details during registration.
• The Company reserves the right to approve or reject any registration without providing a reason.

2. Code of Conduct

• Distributors must conduct business ethically and professionally.
• No false or misleading claims about products, services, or earning potential should be made.
• Distributors shall not spam, harass, or coerce potential customers.

3. Marketing and Sales Guidelines

• Distributors are responsible for promoting products as per the marketing materials provided by the Company.
• Unauthorized advertisements, false testimonials, or tampering with product information are strictly prohibited.
• Selling Company products at unauthorized prices or platforms (e.g., e-commerce sites) is not allowed.

4. Commission and Incentive Plans

• Commissions and incentives will be calculated based on the Company’s compensation plan.
• Payments will be processed monthly after verification of sales records.
• Distributors must meet the sales targets, if applicable, to earn incentives.

5. Termination of Agreement

• The Company reserves the right to terminate the distributorship for violations of these terms.
• A distributor may voluntarily terminate their agreement by providing written notice.
• Upon termination, all pending commissions (if any) will be processed within 30 days after verification.

6. Product Returns and Refunds

• Returns and refunds will be governed by the Company’s Return Policy.
• Refund requests must be raised within the specified time limit, and products must be returned in a saleable condition.

7. Intellectual Property

• The Company’s trademarks, brand names, and marketing materials are its exclusive property.
• Distributors may use these assets only for promoting Company products and as per Company guidelines.

8 Limitation of Liability

• The Company shall not be liable for any indirect, incidental, or consequential damages arising from the direct selling activities.

9. Compliance with Laws

• Distributors must comply with all applicable local, state, and national laws, including guidelines issued by the Ministry of Consumer Affairs, India.

10. Confidentiality

• Distributors must maintain the confidentiality of business information, customer details, and Company strategies.

11. Governing Law

• This Agreement is governed by and construed under the laws of India. Disputes will be resolved exclusively in the courts of [Hingoli /Maharashtra ].
